These Terms of Service ("Terms") constitute an agreement between you and GTMSF LLC ("GTMSF") governing your access to and use of the website and its content located at gtmsf.com (the "Site").

Please review these Terms carefully. By accessing, browsing, reviewing, or using the Site, you acknowledge and agree that you have understood and agree to be bound by these Terms without limitation or qualification, and that you will comply with all applicable laws, rules, and regulations. If you do not agree to these Terms, please do not use the Site.

The Site may contain additional proprietary notices and copyright information, the terms of which must be observed and followed. Information on the Site may contain technical inaccuracies or typographical errors. GTMSF may, in its sole discretion, revise, amend, modify, or delete portions of these Terms at any time without notice to you. It is your responsibility to review the most current version of these Terms. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Ownership and Intellectual Property

Subject to your ongoing compliance with these Terms, GTMSF grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, freely revocable license to access and use the Site solely for lawful purposes, provided that you maintain all copyright, trademark, and other intellectual property notices.

All materials, features, and functionality on the Site, including text, graphics, videos, audio recordings, software, artwork, interfaces, photographs, logos, icons, images, layouts, design direction, articles, case descriptions, frameworks, formats, and the selection and arrangement of those materials, along with any enhancements to or derivative works of them (collectively, "Content"), are the property of GTMSF or its licensors and are protected by U.S. and international laws.

GTMSF owns its original website copy, original frameworks, original page structures, article formats, case study formats, visual presentation, design direction, brand language, GTMSF names and marks, and related GTMSF materials displayed on the Site, except where otherwise noted. Nothing in these Terms should be understood as GTMSF claiming ownership over general ideas, concepts, industry knowledge, or methods that are not protectable under applicable law.

Without express written permission from GTMSF, you may not:

  • Copy, reproduce, republish, or redistribute GTMSF Content in any form
  • Modify, adapt, or create derivative works based on GTMSF Content
  • Sell, license, or commercially exploit GTMSF Content or materials
  • Repackage or resell GTMSF frameworks, materials, formats, or positioning language as your own
  • Scrape or systematically extract Content from the Site by automated means
  • Use GTMSF Content, materials, frameworks, writing, or positioning language to train, develop, fine-tune, or improve any AI model, machine learning system, automated service, or competing commercial product
  • Represent GTMSF Content or materials as your own work or the work of any other person or entity
  • Mirror or frame any Content or the Site itself, in whole or in part, without GTMSF's express written permission

Referencing or quoting limited portions of GTMSF Content with clear attribution for personal, non-commercial, educational purposes is permitted. All other uses require prior written consent from GTMSF.

You are solely responsible for ensuring that any information or Content obtained from the Site does not contain any virus or other computer software code or subroutine designed to disable, erase, impair, or otherwise damage your systems, software, data, or operations.

Any unauthorized use of the Content may violate copyright laws, trademark laws, privacy and publicity laws, and/or communications regulations and statutes. GTMSF does not grant you permission, by implication, estoppel, or otherwise, to state or suggest that GTMSF promotes or endorses any third party's political views, ideas, causes, products, or services.

All rights not expressly granted are reserved.

Trademarks

The trademarks, service marks, logos, and trade names used and displayed on the Site, including GTMSF, are registered or unregistered trademarks of GTMSF. Other trademarks, service marks, logos, and trade names may be owned by others.

Nothing on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any GTMSF trademark or any other GTMSF intellectual property displayed on the Site. GTMSF enforces its intellectual property rights to the fullest extent of the law.

The GTMSF name, trade name, and trademarks may not be used in any way, including in advertising or publicity relating to distribution of Content on the Site, without prior written permission from GTMSF. You may not refer to or attribute information to GTMSF in any public medium for promotional or advertising purposes, or for the purpose of influencing a third party, without prior written permission from GTMSF.

GTMSF also prohibits use of GTMSF or any GTMSF trademark as part of a link to or from any site unless the establishment of such a link is approved in advance by GTMSF.

Usage of the Site and Security

Your use of the Site, including all features and functionality associated with it, must comply with all applicable laws, rules, and regulations, and any other restrictions on use of the Site or Content.

You agree that you will not:

  1. Archive, download, reproduce, distribute, modify, display, perform, publish, license, create derivative works of, offer for sale, or use any Content or information contained in or obtained from the Site, except as expressly permitted by these Terms
  2. Delete copyright or other proprietary rights notices from the Site or any Content
  3. Circumvent, remove, alter, deactivate, degrade, or thwart any content or other protections enabled on the Site
  4. Use any robot, spider, scraper, or other automated means to access the Site
  5. Decompile, reverse engineer, or disassemble any software or other products or processes accessible through the Site
  6. Insert any code or product or manipulate the Site in any way
  7. Use any data mining, data gathering, or extraction method
  8. Upload, post, email, or otherwise send or transmit any material designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment associated with the Site, including software viruses or other computer code, files, or programs
  9. Remove, modify, disable, block, impair, or obscure any advertising or other Site content
  10. Use or encourage the use of the Site for any illegal purpose or in violation of any local, state, national, or international law, including laws governing intellectual property, proprietary rights, data protection, and privacy

GTMSF may alter, suspend, or discontinue the Site, or your access to or use of the Site, at any time for any reason without notice or liability to you or any third party. The Site may become unavailable due to maintenance, malfunction of computer equipment, or other reasons and may result in damages to your systems, software, data, or operations for which GTMSF will not assume liability.

Feedback and Non-Confidential Submissions

The Site may allow you to submit information to GTMSF, including project inquiries, contact requests, comments, feedback, or other materials ("Submissions").

You retain ownership of any information you submit to GTMSF. However, by submitting information through the Site, you grant GTMSF the right to review, use, store, and respond to your Submission for the purpose of evaluating your inquiry, operating the Site, communicating with you, and conducting GTMSF's business.

If you provide feedback, suggestions, ideas, comments, or other non-confidential materials about GTMSF, the Site, or GTMSF's services, you grant GTMSF a perpetual, royalty-free, non-exclusive, sublicensable, transferable, worldwide, and irrevocable right and license to use, reproduce, modify, publish, translate, prepare derivative works based upon, distribute, perform, or display such feedback or non-confidential materials, in whole or in part, in any form, media, or technology known or later developed, for any purpose, without payment to or further authorization from you.

You agree that you will not submit materials that:

  1. Are threatening, libelous, defamatory, obscene, or otherwise unlawful
  2. Would constitute, or encourage conduct that would constitute, a criminal offense, give rise to civil liability, or otherwise violate law
  3. Infringe the intellectual property, privacy, publicity, or other rights of any third party
  4. Contain a computer virus or other destructive element
  5. Contain unauthorized advertising or promotional materials
  6. Contain false or misleading statements

GTMSF reserves the right, in its sole discretion, to refuse, remove, or disregard any Submission, in whole or in part, for any reason.

Client Relationship

Reading this Site, reviewing its Content, or submitting a project inquiry does not establish a consulting, advisory, fiduciary, or client relationship between you and GTMSF. No professional relationship of any kind is formed until both parties have executed a written agreement.

Content on the Site is provided for informational purposes only and does not constitute paid professional business, legal, financial, investment, accounting, tax, career, or other advice or services.

There may be delays, omissions, or inaccuracies in information obtained through your use of the Site. Information on the Site should not be relied upon for making business, investment, or other decisions, or used as a substitute for consultation with paid professional advisors.

GTMSF does not represent or endorse the accuracy or reliability of any advice, opinion, statement, memorandum, or other information displayed, uploaded, downloaded, or distributed through the Site by GTMSF, any user, information provider, or any other person or entity. Any reliance upon such information is at your sole option, liability, and risk.

GTMSF does not grant any license or other authorization to use the Site in any manner that suggests GTMSF promotes or endorses a third party's causes, ideas, political campaigns, political views, websites, products, or services.

Service Agreements

GTMSF services are provided exclusively under separate written agreements signed by both parties. Nothing on the Site constitutes a binding proposal, an offer to provide services, or a commitment to begin work.

Descriptions of GTMSF engagements, services, or approaches on the Site are for informational purposes only and may be modified or updated at any time.

No Outcome Guarantees

GTMSF makes no representations, warranties, or guarantees regarding specific business outcomes. This includes, but is not limited to, fundraising results, revenue growth, investor interest or commitments, partnership opportunities, customer acquisition, market traction, valuation, or any other commercial, financial, or strategic outcome.

Projects, case descriptions, and proof points referenced on the Site reflect prior operating work and contributions and do not guarantee similar results for any other company or engagement.

Project Submissions and Confidentiality

Submitting a project inquiry, sending an email to GTMSF, or sharing information through the Contact page does not create a confidentiality obligation on the part of GTMSF unless both parties have executed a written non-disclosure or confidentiality agreement.

You should not share information you consider genuinely confidential or proprietary until a written confidentiality agreement is in place. To request a mutual NDA, please contact GTMSF by sending an email to hello@gtmsf.com.

Third-Party Tools and Links

The Site may contain links to third-party websites or reference third-party services. GTMSF makes no representations about any third-party website or service you may access through the Site. GTMSF is not responsible for the content, accuracy, practices, or policies of any third-party site or service. Links are provided for informational purposes only and do not constitute an endorsement.

When you access a non-GTMSF website, please understand that it is independent from GTMSF and that GTMSF has no control over the content on that website, even if GTMSF provides information or services to the owner of that website.

A link to a non-GTMSF website does not mean that GTMSF endorses or accepts any responsibility for the content or use of such website. GTMSF disclaims any and all liability and responsibility for such content. It is up to you to take precautions to ensure that anything you access or use is free of viruses, worms, trojan horses, and other items of a destructive nature.

GTMSF may use third-party service providers in connection with operating the Site and its business, including email, project intake, and analytics tools. Use of the Site may be subject to the terms and privacy policies of applicable third-party providers.

Limitation of Liability

To the fullest extent permitted by applicable law, GTMSF and its principals shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Site, reliance on any Content contained on the Site, or any interaction with GTMSF prior to the execution of a written service agreement.

Under no circumstances shall GTMSF or its successors, parents, subsidiaries, affiliates, officers, directors, shareholders, investors, employees, agents, representatives, attorneys, heirs, or assigns be liable for any damages, including direct, incidental, punitive, special, consequential, or exemplary damages, that directly or indirectly result from the use of, or inability to use, the Site or the information, Content, software, products, or services advertised, contained on, obtained from, or arising out of your use of the Site.

This limitation applies without limitation to any damages or injury arising from any failure of performance, error, omission, interruption, deletion, defect, delay, virus, corruption, or use of any record.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

You expressly agree that exclusive jurisdiction resides in the courts of California. You further agree and expressly consent to the exercise of personal jurisdiction in California in connection with any dispute or claim involving GTMSF.

If any part of these Terms is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

Disclaimer of Warranties and Indemnification

The Site, including all Content, is provided "as is" and "as available" without any warranties of any kind. To the fullest extent permissible under applicable law, GTMSF disclaims all warranties, whether express, implied, statutory, or otherwise.

You hereby indemnify, defend, and hold harmless GTMSF and all of its predecessors, successors, parents, subsidiaries, affiliates, officers, directors, shareholders, investors, employees, agents, representatives, attorneys, and their respective heirs, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all liability and costs, including reasonable attorneys' fees, incurred by any or all of the Indemnified Parties in connection with any claim arising out of or relating to: (i) your access to or use of the Site, or (ii) any breach by you of these Terms or the representations, warranties, and covenants you have made by agreeing to these Terms.

You shall cooperate as fully as reasonably required in the defense of any such claim. GTMSF reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you.

Infringement Notices and Takedown

GTMSF prohibits the posting of any information that infringes or violates the copyright rights and/or other intellectual property rights, including rights of privacy and publicity, of any person or entity.

If you believe that any material contained on the Site infringes your copyright or other intellectual property rights, you should notify GTMSF of your infringement claim. GTMSF will process notices of alleged infringement that it receives and will take appropriate action as required by the Digital Millennium Copyright Act ("DMCA").

Entire Agreement

These Terms constitute the entire agreement between you and GTMSF with respect to the subject matter of these Terms and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding that subject matter.

Any waiver of any provision of these Terms will be effective only if in writing and signed by GTMSF. Any failure to enforce any provision of these Terms will not constitute a waiver of a future breach of that or any other provision.
